Terms of Service

1. Acceptance of Terms

By accessing or using SlotPilot ("Platform"), you agree to be bound by these Terms of Service ("Terms"). The Platform allows creators ("Sellers") to sell newsletter sponsorship slots and brands ("Buyers") to purchase them.

2. Account Registration

You must register an account to access certain features. You agree to provide accurate, current, and complete information during the registration process and to keep such information up to date. You are responsible for safeguarding your password and for all activities that occur under your account.

3. Subscription & Payments

Subscriptions: Sellers may be required to purchase a subscription (e.g., Starter, Growth, or Studio plans) to list properties. Subscriptions are billed in advance on a monthly basis and are non-refundable for the current billing period, except as required by law.

Platform Fees: SlotPilot charges a platform fee (commission) on successful bookings, which varies by subscription plan (e.g., 5% for Starter, 0% for higher tiers). This fee is deducted from the payout to the Seller.

Payment Processing: All payments are processed via Stripe. By using the Platform, you agree to be bound by Stripe's Services Agreement. SlotPilot is not responsible for payment errors caused by Stripe or your bank.

Free Trial: New subscriptions may include a 14-day free trial. If not canceled before the trial ends, you will be automatically charged the subscription fee.

4. User Conduct

You agree not to use the Platform to:

• List properties or sponsorship slots that you do not own or have the right to sell.
• Post false, misleading, or fraudulent content.
• Violate any applicable laws or regulations.
• Infringe upon the intellectual property rights of others.
• Distribute spam, viruses, or harmful code.

5. Bookings & Payouts

Bookings: When a Buyer purchases a slot, funds are held in escrow until the Seller approves the booking. If the Seller declines or fails to fulfill the booking requirements, the funds are refunded to the Buyer.

Payouts: Sellers must connect a valid Stripe Connect account to receive payouts. Payouts are subject to Stripe's processing times and verification requirements.

6. Termination

We adhere to a strict policy against fraudulent or abusive behavior. We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Platform, us, or third parties, or for any other reason.

7. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

In no event shall SlotPilot, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the Platform including the date of the latest update.
